Terms of Service

These Terms of Service govern your use of DoublePark and include important information about your rights and responsibilities. Please read them carefully.

These Terms of Service constitute a legally binding agreement (the “Agreement”) between you and DoublePark (“DoublePark”, “we”, “us”, or “our”), governing your use of the DoublePark applications, websites, technology, and platform (collectively, the “DoublePark Platform”).

By creating an account, and/or by using or accessing the DoublePark Platform, you expressly acknowledge that you understand this Agreement and accept all of its terms. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MAY NOT USE OR ACCESS THE DOUBLEPARK PLATFORM OR ANY OF THE SERVICES PROVIDED THROUGH THE DOUBLEPARK PLATFORM. Your use of the DoublePark Platform is also subject to our Privacy Policy.

The DoublePark Platform

The DoublePark Platform provides a coordination service where persons who are looking for a parking spot near a destination (“Finding Users”) can be matched with persons who are leaving a parking spot near that destination (“Leaving Users”). Finding Users, Leaving Users, and any other individuals using the DoublePark Platform are collectively referred to herein as “Users.” The coordinated departure of a Leaving User from a parking spot as a Finding User arrives at that parking spot is referred to herein as a “Handoff”. “DoublePark Services” shall include any service provided by DoublePark through the DoublePark Platform, including matching Users, sharing information between matched Users, and processing payments. As a User, you authorize DoublePark to match and/or re-match you with other Users based on factors such as your location, your destination, the estimated time of arrival, User statistics, and platform efficiency, and to cancel an existing match based on the same or other considerations. Any decision by a User to offer or accept a Handoff is a decision made in such User’s sole discretion.

DoublePark does not own, operate, lease, control, sell, rent, or reserve any parking spot, and does not grant any User any right to use a parking spot. Parking spots are owned and governed by third parties, such as universities, municipalities, and private property owners, and all use of a parking spot is subject to their rules. Any payment made through the DoublePark Platform is for the coordination of a Handoff and the other User’s time and effort, not for a parking spot or any right to one. DoublePark is not a party to any arrangement between Users and does not guarantee that a Handoff will occur or that a parking spot will be available.

Modification to the Agreement

DoublePark reserves the right to modify the terms and conditions of this Agreement, including by changing or deleting existing terms or by adding new ones, and such modifications shall be binding on you upon your acceptance of the modified Agreement. If we make material changes, we will let you know through the DoublePark Platform or by some other method of communication. Continued use of the DoublePark Platform after modifications to this Agreement shall constitute your acceptance of such modifications. DoublePark reserves the right to modify any information on pages referenced in the hyperlinks from this Agreement from time to time, and such modifications shall become effective upon posting. Continued use of the DoublePark Platform after modifications to any information on pages referenced in the hyperlinks from this Agreement shall constitute your acceptance of such modifications.

Eligibility

The DoublePark Platform may only be used by individuals who are authorized to enter into this Agreement and are fully capable of satisfying its terms. Users whose accounts have been deactivated are not eligible to use the DoublePark Platform. Each person may only create one User account, and DoublePark reserves the right to deactivate any additional or duplicate accounts. To use the DoublePark Platform, you must:

  • Be at least 16 years old;
  • Hold a valid driver’s license and be legally permitted to operate the vehicle you use with the DoublePark Platform;
  • Provide accurate and complete information when creating your account and keep it up to date, including your vehicle information; and
  • Keep your account credentials secure and not allow anyone else to use your account.

If you are 16 or 17 years old, you represent that your parent or legal guardian has reviewed this Agreement and consents to it on your behalf. Your parent or legal guardian accepts full responsibility for your use of the DoublePark Platform and for any breach of this Agreement.

Charges

As a Finding User, you agree to pay the amounts shown to you in the DoublePark Platform before you request a Handoff (“Charges”). Charges consist of:

  • Service Price: paid to the Leaving User for their time and effort in coordinating a Handoff with you. The Service Price is not payment for a parking spot or for any right to use one;
  • Booking Fee: paid to DoublePark for the use of the DoublePark Platform; and
  • Payment Processing Fee: charged to cover the cost of processing the portion of your payment made by card. No Payment Processing Fee is charged on any portion paid from your DoublePark balance.

Quotes. Before you request a Handoff, the DoublePark Platform will show you the total Charges for that Handoff. Charges are shown in U.S. dollars and may change from time to time. The Charges shown to you when you request a Handoff are the Charges that apply to it.

Payment Authorization. When you request a Handoff, you authorize DoublePark to place a temporary hold on your payment method, or on your DoublePark balance, for the total Charges. Your payment is only completed once the Handoff is confirmed. If you cancel before a Handoff is confirmed, or if no Handoff occurs, the hold is released and you are not charged.

Payment Methods. You may pay using a payment method saved to your account or your DoublePark balance. Payment methods are processed by our third-party payment processor, and your use of a payment method is also subject to the payment processor’s terms. You authorize DoublePark to charge your payment method for all Charges you incur.

Cancellation Fees. DoublePark does not currently charge cancellation fees. If we introduce cancellation fees, they will be shown to you in the DoublePark Platform before they apply.

Payouts

Your DoublePark Balance. As a Leaving User, when a Handoff you coordinate is confirmed, the Service Price for that Handoff is added to your DoublePark balance. Your DoublePark balance is not a bank account or deposit account, does not earn interest, and can only be used on the DoublePark Platform or transferred as described below. You cannot add funds to your DoublePark balance directly.

Pending Funds. Amounts added to your DoublePark balance are first shown as pending. Pending amounts become available once the period for disputing the Handoff has closed and the payment has been settled. DoublePark may keep amounts pending for longer, or reverse them, if a Handoff is disputed, if we suspect fraud or misuse of the DoublePark Platform, or if the payment is reversed or refunded.

Using Your Balance. You may use your available balance to pay for Handoffs you request as a Finding User.

Transfers. To transfer your available balance, you must connect a Venmo account to your DoublePark account. Transfers are sent to the Venmo account connected at the time of your request, and are typically sent within a few business days. DoublePark is not responsible for transfers sent to an incorrect Venmo account that you provided. Your use of Venmo is subject to Venmo's terms.

Promotional Amounts. Amounts added to your DoublePark balance through promotions or redemption codes cannot be transferred and may only be used to pay for Handoffs on the DoublePark Platform.

Taxes. You are responsible for any taxes that apply to amounts you receive through the DoublePark Platform.

Cancellations, Refunds, and Disputes

Cancellations. Either User may cancel a request or a matched Handoff at any time before the Handoff is confirmed. If either User cancels, any hold placed on the Finding User's payment method or DoublePark balance is released. If the other User cancels after you have been matched, DoublePark may return you to the queue to be matched with another User. DoublePark may also cancel a request that has waited too long without a match, or a Handoff we believe cannot be completed, in which case any hold is released.

Disputes. If you are a Finding User and believe a confirmed Handoff did not occur as described, you may dispute it by contacting us at gabe@doublepark.dev within a limited period after the Handoff (the "Dispute Period"). DoublePark sets the Dispute Period and may change it from time to time. When reviewing a dispute, DoublePark may use any information related to the Handoff, including location information, messages between Users, and information provided by either User. DoublePark will decide the outcome of a dispute in its sole discretion.

Refunds. If DoublePark decides a dispute in your favor, you will receive a refund of the Charges for that Handoff, except the Payment Processing Fee, which cannot be recovered. Refunds are returned to the original payment method or DoublePark balance used. If a refund is issued, any amount added to the Leaving User's DoublePark balance for that Handoff will be reversed. Except as described in this section or required by law, Charges are non-refundable.

Parking Rules and Responsibility

Your Responsibility. You are solely responsible for your use of any parking spot. This includes making sure you are legally permitted to park there, holding any permit the parking location requires, following all posted signs, time limits, and rules set by the owner or operator of the parking location, and paying any parking fees they charge. DoublePark does not check whether you hold a required permit, and does not guarantee that any parking spot is legal, safe, or available for you to use.

Tickets, Towing, and Fines. You are solely responsible for any parking tickets, citations, towing, booting, fines, or other penalties you receive, including for parking in a parking spot you found through the DoublePark Platform. DoublePark will not pay or reimburse any of these.

No Reserving or Blocking. Because no User has any right to a parking spot, you may not physically reserve, save, or block an empty parking spot, including by standing in it, placing objects in it, or leaving your vehicle positioned to prevent another person from parking in it. A Leaving User may remain parked until they choose to depart, and when to depart is their own decision. Once a Leaving User's vehicle has left the parking spot, a Finding User has no greater right to it than any other person.

Driving Safely. You must obey all traffic laws and must not use the DoublePark Platform in a way that distracts you while driving. Check the app only when it is safe and legal to do so.

Vehicles and Property. DoublePark is not responsible for any accident, collision, damage to vehicles or property, or injury that occurs while you are using the DoublePark Platform, including during a Handoff. Any such matter is between the Users involved and their insurers.

Promotions and Redemption Codes

DoublePark may, in its sole discretion, offer promotions and redemption codes that reduce the Charges for a Handoff or add promotional amounts to your DoublePark balance. Promotions and redemption codes have no cash value, cannot be transferred or sold, may be limited to one per User, may expire, and may be modified or ended by DoublePark at any time without notice. DoublePark may cancel or reverse any promotion or promotional amount that we believe was obtained through fraud, error, or in violation of this Agreement.

Restricted Activities

With respect to your use of the DoublePark Platform, you agree that you will not:

  • Impersonate any person or entity, or create an account using false information;
  • Create or use more than one account, or use another person's account;
  • Request, offer, or confirm a Handoff that did not occur, or otherwise misuse the DoublePark Platform to obtain payments, refunds, or promotions;
  • Use the DoublePark Platform to sell, rent, or otherwise charge for any right to use a parking spot;
  • Harass, threaten, stalk, intimidate, or abuse any other User, or discriminate against any User based on race, color, national origin, religion, sex, gender identity, sexual orientation, disability, age, or any other protected characteristic;
  • Send messages or leave notes that are offensive, obscene, threatening, or unrelated to coordinating a Handoff;
  • Rate or report another User dishonestly or in retaliation;
  • Use location or other information you receive about another User for any purpose other than completing a Handoff;
  • Arrange payments with another User outside the DoublePark Platform for a Handoff you were matched through the DoublePark Platform;
  • Use the DoublePark Platform while under the influence of alcohol or drugs, or in any way that violates traffic or parking laws;
  • Violate any applicable law, including by parking where you are not legally permitted to park;
  • Interfere with or disrupt the DoublePark Platform, including by attempting to access it through automated means, reverse engineering it, or accessing accounts or data you are not authorized to access; or
  • Encourage or help any other person to do any of the above.

Your Content and Intellectual Property

Your Content. You keep ownership of the content you provide through the DoublePark Platform, such as your profile photo, messages, notes, and ratings ("User Content"). You grant DoublePark a worldwide, royalty-free, non-exclusive license to use, store, display, and share your User Content as needed to operate, improve, and protect the DoublePark Platform, including by showing it to other Users as described in our Privacy Policy. You are responsible for your User Content and confirm that you have the right to share it. DoublePark may remove any User Content that we believe violates this Agreement.

DoublePark's Intellectual Property. The DoublePark Platform, including its software, design, text, graphics, and the DoublePark name and logo, is owned by DoublePark and protected by intellectual property laws. Subject to this Agreement, DoublePark grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the DoublePark Platform for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from any part of the DoublePark Platform, or use the DoublePark name or logo, without our written permission.

Feedback. If you send us suggestions or feedback about the DoublePark Platform, you agree that DoublePark may use them without any obligation to you.

Disclaimers

THE DOUBLEPARK PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DOUBLEPARK DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DOUBLEPARK DOES NOT GUARANTEE THAT THE DOUBLEPARK PLATFORM WILL BE AVAILABLE, UNINTERRUPTED, OR ERROR-FREE.

DOUBLEPARK DOES NOT GUARANTEE THAT YOU WILL BE MATCHED WITH ANOTHER USER, THAT A HANDOFF WILL OCCUR, OR THAT ANY PARKING SPOT WILL BE AVAILABLE, LEGAL, OR SAFE FOR YOU TO USE. LOCATIONS, ROUTES, ESTIMATED ARRIVAL TIMES, AND OTHER INFORMATION SHOWN IN THE DOUBLEPARK PLATFORM ARE ESTIMATES AND MAY NOT BE ACCURATE.

DOUBLEPARK DOES NOT CONDUCT BACKGROUND CHECKS ON USERS AND DOES NOT VERIFY THE IDENTITY, DRIVER'S LICENSE, VEHICLE, OR PARKING PERMIT OF ANY USER. DOUBLEPARK IS NOT RESPONSIBLE FOR THE CONDUCT, ACTS, OR OMISSIONS OF ANY USER OR OTHER PERSON, WHETHER ON OR OFF THE DOUBLEPARK PLATFORM. YOU USE THE DOUBLEPARK PLATFORM AND INTERACT WITH OTHER USERS AT YOUR OWN RISK.

Indemnity

You agree to indemnify, defend, and hold harmless DoublePark and its affiliates, officers, employees, and agents from any claims, losses, damages, liabilities, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use of the DoublePark Platform, including any Handoff;
  • Your use of any parking spot, including any parking ticket, citation, towing, or fine;
  • Your breach of this Agreement or violation of any law;
  • Your User Content; or
  • Any dispute between you and another User or any third party, including the owner or operator of a parking location.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DOUBLEPARK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATED TO THE DOUBLEPARK PLATFORM OR THIS AGREEMENT, EVEN IF DOUBLEPARK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DOUBLEPARK WILL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR COSTS ARISING FROM YOUR USE OF ANY PARKING SPOT, INCLUDING PARKING TICKETS, CITATIONS, TOWING, BOOTING, OR FINES, OR FROM THE CONDUCT OF ANY USER OR THIRD PARTY.

TO THE FULLEST EXTENT PERMITTED BY LAW, DOUBLEPARK'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE DOUBLEPARK PLATFORM OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE BOOKING FEES YOU PAID TO DOUBLEPARK IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Term and Termination

This Agreement applies from the time you first use the DoublePark Platform until your account is deleted or deactivated.

Deleting Your Account. You may delete your account at any time in your account settings, except while you are finding or leaving a parking spot or in the middle of a Handoff. Your available DoublePark balance will be transferred to your connected Venmo account before your account is deleted.

Deactivation by DoublePark. DoublePark may suspend or deactivate your account, or limit your access to the DoublePark Platform, at any time and without notice, including if we believe you have violated this Agreement, created a safety risk, or engaged in fraud or misuse of the DoublePark Platform. If your account is deactivated, DoublePark will transfer any available balance to your connected Venmo account, except amounts we believe were obtained through fraud, error, or in violation of this Agreement, which may be reversed.

Survival. Sections of this Agreement that by their nature should continue after your account is deleted or deactivated will continue to apply, including those covering Charges, Refunds, Disputes, Parking Rules and Responsibility, Your Content and Intellectual Property, Disclaimers, Indemnity, Limitation of Liability, and Governing Law.

Governing Law and Disputes

Informal Resolution. If you have a dispute with DoublePark, you agree to first contact us at gabe@doublepark.dev and give us 30 days to try to resolve it informally before starting any legal proceeding.

Governing Law. This Agreement is governed by the laws of the State of Utah, without regard to its conflict of law rules.

Where Claims Are Brought. Any legal proceeding arising out of or related to this Agreement or the DoublePark Platform must be brought in the state or federal courts located in Salt Lake County, Utah, and you and DoublePark consent to the jurisdiction of those courts. Either party may bring an eligible claim in small claims court instead.

Third-Party Services

The DoublePark Platform relies on services provided by third parties, including Apple, Google, our payment processor, Venmo, and our mapping provider. Your use of those services is subject to their own terms and privacy policies. DoublePark does not control and is not responsible for third-party services, including any interruption, error, or change to them, or any transfer, payment, or refund delayed or affected by them.

General

Entire Agreement. This Agreement, together with our Privacy Policy, is the entire agreement between you and DoublePark regarding the DoublePark Platform and replaces any prior agreements.

Severability. If any part of this Agreement is found to be unenforceable, that part will be limited or removed to the minimum extent necessary, and the rest of this Agreement will remain in effect.

No Waiver. DoublePark's failure to enforce any part of this Agreement is not a waiver of our right to enforce it later.

Assignment. You may not transfer this Agreement or your account to anyone else. DoublePark may transfer this Agreement, including in connection with a change of ownership, such as forming a company to operate the DoublePark Platform.

No Relationship. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between you and DoublePark, or between you and any other User.
